Terms of Service

These Terms of Service ("Terms") govern your access to and use of PreAuthIQ ("Service"), provided by Beckersoft, Inc. ("Company"). By creating an account or using the Service, you agree to these Terms.

1. The Service

PreAuthIQ assists healthcare providers with prior-authorization drafting, no-show prediction, patient outreach, and related revenue-cycle tasks. The Service is a clinical workflow tool, not a medical device, and does not provide medical advice, diagnosis, or treatment decisions. All clinical and billing decisions remain the sole responsibility of the licensed provider.

2. Accounts

You must be 18+ and authorized to bind your organization. You are responsible for safeguarding credentials. Notify security@preauthiq.com of any unauthorized use.

3. Customer Data & HIPAA

You retain all rights in data you submit, including PHI. We process PHI as a Business Associate under HIPAA pursuant to a separately executed Business Associate Agreement (BAA), incorporated by reference for covered customers.

4. Acceptable Use

You will not reverse engineer the Service, violate law or third-party rights, submit malware, resell or build a competing product from the Service, submit PHI of individuals for whom you lack a treatment relationship, or rely on AI output as the sole basis for a medical decision.

5. Auth Credits & Billing

The Service uses prepaid Auth Credits. Credits are non-refundable except as required by law, expire 24 months from purchase, and have no cash value. You authorize us to charge the payment method on file. Disputes must be raised within 30 days.

6. AI Output

The Service uses large language models that may produce incomplete or incorrect output. You are responsible for reviewing all AI-generated content before submission to any payer, patient, or regulator. We do not guarantee approval, payment, or any specific clinical or financial outcome.

7. Intellectual Property

We retain all rights to the Service, including software, models, playbooks, UI, and trademarks (including "PreAuthIQ"). You grant us a limited license to use Customer Data solely to provide, secure, support, and improve the Service, including training de-identified aggregate models per HIPAA's de-identification standard.

8. Warranties & Liability

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES. NEITHER PARTY IS LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Term & Termination

Either party may terminate for material breach not cured within 30 days. We may suspend access immediately for security, legal, or non-payment reasons. Upon termination, you may export Customer Data for 30 days.

10. Governing Law

These Terms are governed by Delaware law. Exclusive venue is New Castle County, Delaware. Each party waives jury trial.

11. Changes

We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be notified at least 14 days before taking effect.
